PEYTON legal represented NAPA TRUCKS HOLDING in the acquisition of a 100% share in TRUCK TRADE Holding.
The NAPA TRUCKS Group is a significant player in the Czech heavy truck market. It operates as an authorized dealer and service partner for DAF and TATRA vehicles and also serves as a distributor of Welgro semi-trailer equipment.
The TRUCK TRADE Group has long been active in the sale and servicing of DAF and TATRA heavy trucks. In addition, it is engaged in the sale of VDL buses and ranks among the key providers of authorized DAF vehicle servicing on the Czech market.
PEYTON legal provided the client with comprehensive legal advice, in particular in connection with the legal due diligence, the negotiation of transaction documentation, and the representation of the client in merger control proceedings before the Czech Competition Authority (ÚOHS). Given the substantial market shares of both groups, the authority focused in its standard proceedings primarily on the market for after-sales servicing of DAF heavy trucks, as the transaction involved the combination of the two most significant providers of authorized DAF heavy truck servicing in the Czech Republic.
